This Agreement ("Agreement") governs the use of web hosting services ("Services") provided by [AdaTech company name] ("AdaTech") to you ("Customer"). By using the Services, you agree to be bound by the terms and conditions set forth in this Agreement.
AdaTech provides a variety of web hosting services, including shared hosting, virtual private servers (VPS), dedicated servers, managed hosting. The specific features and limitations of each service are described in the corresponding service plans.
AdaTech reserves the right to terminate Customer's account or restrict Customer's access to the Services if Customer violates any of the terms of this Agreement.
AdaTech guarantees that the Services will be available at least 99.9% of the time. This guarantee does not apply to outages caused by force majeure events, such as natural disasters, or outages caused by Customer's own equipment or software.
Customer is responsible for paying all fees associated with the Services. Payment must be made in advance for the chosen billing cycle. AdaTech reserves the right to change its prices at any time, but such changes will not apply to existing customers until the renewal of their current billing cycle.
AdaTech routinely backs up Customer's data, but it is Customer's responsibility to regularly back up their own data. AdaTech is not responsible for any data loss.
AdaTech takes reasonable measures to protect Customer's data from unauthorized access. However, no security system is perfect, and AdaTech cannot guarantee that Customer's data will be absolutely secure.
The Services and all associated content are the property of AdaTech or its licensors. Customer is granted a limited, non-exclusive license to use the Services for their own internal business purposes. Customer is not permitted to copy, modify, or distribute the Services or any associated content.
This Agreement may be terminated by either party at any time. AdaTech may also terminate this Agreement immediately if Customer violates any of the terms of this Agreement.
THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ADATech MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
IN NO EVENT SHALL ADATech BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADATech HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This Agreement shall be governed by and construed in accordance with the laws of Malaysia.
Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the [arbitration provider]. The arbitration shall be held in [Malaysia].
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
AdaTech reserves the right to modify this Agreement at any time by posting the amended terms on its website.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail.
